The franchisor - franchisee relation is covered by the convention that includes the following elements:
• Concession of the right to use the organisation, operation, promotion and training Oxford Company system, as well as the right to use the discreet Oxford Company title. • For these privileges, franchisee is compelled to apply to the operation system that is followed by the franchisor. This system will cover all store activities (organisation, operation, marketing, etc). • Moreover, it is taken into account that the obligation of a franchisee to be exclusively supplied with Oxford Company S.A. merchandises or from authorized suppliers of Oxford Company. • The duration of the convention is proposed to be 9 years long or according to the duration of of the real estate rental agreement. In case of breaking the hire rental contract ,an option of transporting the shop is given to the franchisee in a nearby location, without additional charge of the franchisor. • The franchisee should function according to the rules that the franchisor imposes and is compelled to accept any economic or functional control when asked. With the merchandise acquirement from the franchisor, the franchisee is not compelled to any payment of royalties over wholesale invoices . • Franchisor provides constant services of organisation and support to the franchisee. Based to the fact that,the shop should be situated in a central city route with a population of more than 60.000 residents. Required spaces 40 - 50 m2, ground floor, with at least 4 - 5 m facade. Storage of 20 - 40 m2 on the basement or on a loft.
The initial merchandise is financed through the shop traffic, as it has a settlement of 30,.60,.90,.120 days. On account of a franchise fee, the franchisor offers with no additional charge: evaluation of the shop location, a technoeconomical study on the investment evaluation ,design of the shop (architectural study) according to the image that allocates all Oxford Company shops, training before the opening of a shop at the permits of another Oxford Company store, training before the official opening of the shop, initial display of products on the opening of a new operating store. The cost of configuration of shop will come upon the franchisee. For this reason, he might also use his own workshop in order to execute the architectural plans that were supplied by the franchisor. Approval and training of personnel that the franchisee will select (during the training period the cost of payroll of the personnel will burden the franchisee). Oxford Company SA undertakes each year the program of Pan-Hellenic publicity of the network of Oxford Company stores.Oxford Company SA grants the promotion and publicity material and the franchisee is charged with the medium cost , in the case of local publicity. The convention between franchisor and franchisee can be ceased for the following reasons: Inconsistency of a franchisee regarding his payments to the franchisor. Franchisee status in a liquidation or bankruptcy situation. Infringement of terms of convention. In case where the convention is denounced, it is supposed that : the shop ceases to carry any discreet element of Oxford Company. the franchisee returns all material that he has and is related to Oxford Company. the franchisee does not use the same shop in order to make male clothing trade and particularly shirt, tie, etc, or other applicatios similar to those of Oxford Company S.A. Each convention franchising should essentially consists of the following basic provisions: 1. Precise and in detail description of the franchise "package",with which the franchisor (Donor) grants the use and exploitation to the franchisee (Recipient). 2. Determination of aim and frame of all commercial collaboration within involving parts. 3. Underline the independence within parts. 4. Determination of Donors obligations. 5. Determination of Recipient obligations. 6. Duration of the Convention. 7. The ways of ceasing the convention. 8. Determination of the after- convention obligations within parts. 9. Determination of the responsible parts to the hearing of the convention in various Courts.
